These Terms of Service (“Terms”) govern your access to and use of (a) the public websites operated by RAN BIOLINKS CANADA LTD (“RAN BIOLINKS”, “we”, “us”) that link to these Terms, and (b) MAESTRO ECMS and related services only to the extent a separate written agreement (such as an order form, statement of work, or master subscription agreement) does not expressly supersede these Terms on a given point.
Priority of documents: If there is a conflict between these Terms and an executed enterprise agreement for MAESTRO ECMS, the enterprise agreement controls for paid services. These Terms still apply to use of our marketing website and to any topics the enterprise agreement does not address.
You represent that you have authority to bind yourself or the organization on whose behalf you act. If you access MAESTRO ECMS, you also agree to abide by your organization’s policies and your organization’s agreement with RAN BIOLINKS.
MAESTRO ECMS is an electronic content and compliance management platform that supports controlled documents, training and qualification records, onboarding workflows, validation lifecycle artifacts, compliance reporting, CAPA-related records, and related audit and collaboration features. Specific modules, limits, and service levels are defined in your order documentation.
We may modify, enhance, or discontinue non-material aspects of the service or introduce new features. We will not materially reduce core functionality of a subscribed service during a prepaid term without a remedy described in your agreement or reasonable advance notice where required by law.
Access to MAESTRO ECMS requires credentials issued or approved by your organization. You must provide accurate registration information, safeguard passwords and devices, promptly report suspected compromise, and use MFA when your organization requires it.
You may not share accounts, circumvent authentication, probe or scan systems without authorization, or access data you are not permitted to view. We may suspend or terminate access that appears to violate these Terms or present a security risk.
Your organization retains ownership and control of data and documents it submits to MAESTRO ECMS (“Customer Content”). You grant RAN BIOLINKS a non-exclusive license to host, process, back up, display, and otherwise use Customer Content solely to provide, secure, and improve the services in accordance with your agreement and our Privacy Policy.
Your organization is responsible for:
MAESTRO ECMS is a tool to support compliance; it does not replace legal counsel, qualified validation, or your own quality system. You remain solely responsible for regulatory decisions and submissions.
In addition to obligations under your enterprise agreement, you agree not to:
RAN BIOLINKS and its licensors own all right, title, and interest in MAESTRO ECMS, including software, documentation, branding, and aggregate statistical insights derived from service operation (provided such insights do not identify Customer Content in a non-aggregated way).
Suggestions, feedback, or ideas you provide may be used by RAN BIOLINKS without restriction or compensation, except where prohibited by law.
Each party will protect the other’s confidential information with reasonable care and use it only for purposes of the relationship. Confidentiality obligations in your enterprise agreement, if any, supplement these Terms.
Fees, invoicing, and taxes are set forth in your order form or agreement. Failure to pay may result in suspension of services after notice where contractually permitted.
For MAESTRO ECMS, the subscription term and renewal rules are defined in your agreement. We may suspend access for material breach, non-payment, legal requirement, or emergency security issues, generally with notice where feasible.
Upon termination, your organization’s right to use MAESTRO ECMS ceases. Export and deletion of Customer Content are handled as described in your agreement and applicable product capabilities. We may delete residual copies after the agreed retention window unless law requires longer storage.
To the fullest extent permitted by applicable law, the website and MAESTRO ECMS are provided “as is” and “as available”, without warranties of merchantability, fitness for a particular purpose, or non-infringement, except any warranties that cannot be excluded by law.
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data — even if advised of the possibility.
RAN BIOLINKS’ aggregate liability arising out of or relating to these Terms or MAESTRO ECMS (for any cause and theory) will not exceed the greater of (a) amounts paid by your organization for MAESTRO ECMS in the twelve (12) months preceding the claim, or (b) one hundred Canadian dollars (CAD $100), where the cap applies. These limitations do not apply to liability that cannot be limited by law (for example, gross negligence or willful misconduct, where recognized).
To the extent permitted by your enterprise agreement, your organization will defend and indemnify RAN BIOLINKS against third-party claims arising from Customer Content or your misuse of the services. RAN BIOLINKS will defend and indemnify your organization against third-party claims that MAESTRO ECMS infringes an intellectual property right, subject to the process and exclusions typically set forth in a written agreement.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, excluding conflict-of-law principles. The courts located in Ontario shall have exclusive jurisdiction, subject to any different mandatory forum in your enterprise agreement.
These Terms constitute the entire agreement between you and RAN BIOLINKS regarding the website and, where no other agreement exists, preliminary access topics. If any provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets.
